SOFTWARE LICENSE
AGREEMENT

1. License Grant

The Syndicate Suite is licensed, not sold. FKN NUTS LLC grants you a limited, non-exclusive, non-transferable, revocable license to use The Syndicate Suite software on your Shopify store(s) subject to the terms of your subscription plan:

• Solo Operator ($79/month) — Licensed for use on 1 Shopify store. One subscription per store.
• Shadow Agency ($299/month) — Licensed for use on 3 to 5 Shopify stores under a single account. Includes priority support and all modules.

2. Permitted Use

Under this license, you may:

• Install and use the software on your authorized Shopify store(s)
• Enable or disable individual modules within the suite at any time
• Use AI-generated content, reports, and outputs for your store operations
• Configure the software settings to suit your business needs
• Access documentation and support resources included with your plan

3. Restrictions

You may not:

• Resell, redistribute, or share The Syndicate Suite or any of its components
• Reverse engineer, decompile, or disassemble any part of the software
• Sublicense access to third parties or allow unauthorized users to access the software
• Remove or alter any proprietary notices, labels, or branding within the software
• Copy or replicate the software's functionality, design patterns, or user interface for use in competing products
• Exceed your plan's store limit without upgrading to the appropriate subscription tier

4. Intellectual Property

All code, design, architecture, documentation, branding, and proprietary algorithms comprising The Syndicate Suite are the exclusive property of FKN NUTS LLC. This license does not transfer any ownership rights to you. All trademarks, service marks, and trade dress associated with The Syndicate Suite remain the property of FKN NUTS LLC. Nothing in this agreement grants you rights to use our trademarks without prior written consent.

5. Termination

This license is effective until terminated. We may terminate your license immediately if you breach any of these terms. Upon termination, you must cease all use of the software and uninstall it from your Shopify store(s). Termination does not entitle you to a refund of any fees already paid. We reserve the right to suspend access to the software if we reasonably believe a violation has occurred, pending investigation.

6. Disclaimer of Warranties

The Syndicate Suite is provided "as is" and "as available" without warranties of any kind, either express or implied. FKN NUTS LLC does not warrant that the software will be uninterrupted, error-free, or that it will meet your specific requirements. Use of the software is at your own risk.

7. Governing Law

This license agreement is governed by the laws of the State of Texas, United States. Any disputes arising under this agreement shall be resolved in the courts of Travis County, Texas.
